These Terms & Conditions ("Terms") govern access to and use of the Dorbite software-as-a-service platform, website, mobile experiences, APIs, notifications, and related services (collectively, the "Service"), operated by Dorbite Pvt. Ltd. ("Dorbite", "we", "us", or "our") from Kathmandu, Nepal.

Dorbite is a hospitality SaaS platform serving hotel and food-and-beverage businesses and consumer users, primarily in Kathmandu, Nepal. These Terms are intended to comply with applicable Nepalese law and to reflect commonly required protections under relevant United States, European Union, United Kingdom, and Australian legal frameworks, without limiting any non-waivable rights you may have under mandatory local law.

Acceptance of Terms

By creating an account, completing onboarding, subscribing to a plan, checking the legal consent box at signup, or using the Service, you confirm that:

  • You are at least 16 years old, or you have valid parental or guardian consent where required by law
  • You have read, understood, and agree to these Terms and our Privacy Policy
  • You consent to electronic communications, notices, and records as described below
  • You agree to comply with all applicable laws, regulations, licensing requirements, and tax obligations in your jurisdiction
  • If you register on behalf of a business, you have authority to bind that business to these Terms

If you do not agree, you must not use the Service.

1. Definitions

  • Business User — a hotel owner, business owner, administrator, or authorized representative operating a hospitality business on Dorbite
  • Staff User — front desk, kitchen, housekeeping, helper, or other personnel granted access by a Business User
  • Consumer User — an individual using Dorbite to discover businesses, place orders, make reservations, receive notifications, leave reviews, or interact with public business pages
  • Subscription Plan — a paid or trial plan defining features, usage limits, billing cycle, and applicable commission rates
  • Platform Data — data submitted to, generated by, processed through, or stored on the Service
  • Merchant — the Business User that sells or provides hospitality goods or services to Consumer Users

2. The Service

Dorbite provides cloud-based hospitality management and consumer engagement tools, including but not limited to:

  • Business onboarding, profile management, public business pages, and discovery
  • Kitchen order management, dining table management, and staff workflows
  • Room and table reservations, guest management, check-in/check-out, and guest credit features
  • Inventory, supplier, and stock management
  • Role-based staff access for hotel administration and operational teams
  • Subscription management, promotions, featured ads, announcements, and analytics
  • Notifications, reviews, reporting, and operational dashboards
  • Consumer search, ordering, booking, reviews, and account features

The Service is provided on a subscription and feature-enabled basis. Trial access, plan limits, and feature availability depend on your active Subscription Plan. We may add, modify, suspend, or discontinue any feature with notice where required by law.

No professional advice. Dorbite provides software tools only. We do not provide legal, tax, accounting, food safety, tourism licensing, or hospitality operations advice.

3. Relationship of the Parties

  • Dorbite is a technology platform and SaaS provider, not the owner or operator of registered hospitality businesses
  • Business Users are independent Merchants responsible for their own operations, pricing, staff, compliance, and consumer relationships
  • Staff Users act on behalf of the Business User that invited them
  • Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between Dorbite and any user

4. Account Registration, Accuracy, and Security

All Users

  • You must provide accurate, current, and complete registration information
  • You are responsible for safeguarding your credentials and all activity under your account
  • You must promptly update information that becomes inaccurate or incomplete
  • You must notify us promptly of any suspected unauthorized access
  • We may suspend or terminate accounts that violate these Terms or create security, legal, or operational risk

Business and Hotel Accounts

  • Business Users must provide valid business, licensing, and contact information where requested
  • You warrant that you are authorized to register and operate the business on Dorbite
  • You are solely responsible for staff invitations, role assignments, permissions, and internal controls
  • You are liable for incorrect, misleading, outdated, or unlawful information entered by you or your staff

Consumer Accounts

  • Consumers must provide accurate profile, contact, and location information where required
  • You are responsible for reviewing order, reservation, and payment details before submission
  • You are liable for incorrect information that affects bookings, orders, billing, or communications

Dorbite is not legally responsible for operational inefficiencies, losses, or disputes caused by inaccurate or incomplete information submitted by Business Users, Staff Users, or Consumer Users.

5. Subscriptions, Billing, and Payments

Current Payment Model

  • At present, Dorbite primarily accepts offline payments for subscriptions and related platform requests, including verified bank transfer and other offline methods approved by Dorbite
  • Subscription activation may remain pending until Dorbite verifies payment and eligibility
  • Prices, billing cycles, plan features, usage limits, and commission rates are defined in the applicable Subscription Plan at the time of purchase or renewal
  • All subscription fees are exclusive of applicable taxes unless expressly stated otherwise

Future Payment Integrations

We plan to introduce redirect-based online payment options, which may include eSewa, Khalti, Stripe, and other approved payment gateways. When launched, additional gateway terms, verification steps, refund mechanics, and consumer payment flows will apply and may be updated in a supplemental notice or revised Terms.

Platform Transaction Commission

When in-app consumer payment functionality becomes available:

  • A platform transaction commission may apply to qualifying consumer transactions completed through Dorbite between Consumer Users and registered Business Users
  • The commission percentage is defined in the Business User's active Subscription Plan and displayed at the time of plan selection or renewal
  • Commission may be calculated on the transaction value processed through the platform, excluding taxes, tips, payment gateway charges, refunds, chargebacks, or other amounts disclosed at launch, unless otherwise stated in the applicable plan or checkout flow
  • Commission rates, settlement timing, invoicing, and dispute handling may be updated with reasonable prior notice, subject to applicable law and any active subscription commitment
  • Business Users remain responsible for delivering the underlying goods or services and for consumer refunds required by law or their own policies, except where Dorbite is expressly designated as payment collector under a separate written agreement

Current Subscription Commission Rates

The commission rates below apply to qualifying in-app consumer transactions when payment functionality is enabled. Rates are tied to the Business User's active subscription plan at the time of the transaction.

Commission rates may vary by billing cycle and plan version. The rate shown during subscription selection or renewal is the rate that applies to your account.

Refunds, Chargebacks, and Verification

  • Offline subscription payments are subject to manual verification and refund policies communicated at purchase
  • Unless required by law, fees already paid for activated subscription periods are generally non-refundable once service access has been granted
  • We may reject, reverse, suspend, or withhold settlement for transactions that appear fraudulent, incomplete, disputed, or non-compliant

6. Consumer Referral Program

Dorbite may offer Consumer Users an optional referral feature as part of our marketing and promotional campaigns. Participation is voluntary and subject to these Terms, our Privacy Policy, and the then-current Dorbite referral and platform policies.

  • Validity. The referral payout feature remains valid until July 15, 2027 at 6:56 AM. After that date, new referral payouts are not applicable unless Dorbite extends or renews the campaign.
  • Policy control. Dorbite reserves the exclusive right to create, amend, suspend, replace, or discontinue referral program rules at any time. Any payouts, compensations, rewards, credits, or other benefits will be determined solely under Dorbite's latest published referral and platform policies, as displayed in the Service or related notices at the relevant time.
  • Campaign nature. Goals, payout amounts, payout currency, eligibility rules, qualifying events, verification standards, and the validity period are promotional and may change without creating a vested or guaranteed entitlement to any prior campaign terms.
  • Payouts after goal. When a Consumer User reaches the applicable referral goal under then-current policy, a payout may be issued in the currency configured for the campaign (for example NRS or USD), subject to verification, anti-fraud checks, and Dorbite approval.
  • Qualifying subscriptions. Unless expressly stated otherwise in the then-current policy, referral payouts apply only to annual and tri-annual subscription purchases by referred businesses. Other billing cycles or purchase types do not count toward payout eligibility.
  • Identification. Referral activity may be tracked using the Consumer User's referral code together with available account identifiers such as username and email (including accounts created via Google or Facebook sign-in).
  • No guaranteed income. Referral rewards are not wages, salary, employment income, or guaranteed earnings. Dorbite may withhold, reverse, adjust, delay, or decline payouts for fraud, abuse, duplicate accounts, invalid attributions, expired or superseded campaigns, incomplete verification, or policy violations.

7. Business Operations and Consumer Transactions

For Business and Hotel Users

  • You are solely responsible for the quality, safety, legality, pricing, availability, and fulfillment of your hospitality services
  • You must honor valid reservations, orders, and guest interactions accepted through Dorbite, subject to your policies and applicable law
  • You must maintain accurate menus, room availability, pricing, taxes, operating hours, promotions, and public profile content
  • You must comply with Nepal tourism, food safety, labor, licensing, consumer protection, and tax laws applicable to your business
  • You are responsible for your own refund, cancellation, no-show, and complaint-handling policies, provided they comply with applicable law

For Consumer Users

  • Bookings, orders, reviews, and communications made through Dorbite are fulfilled by the selected Merchant, not by Dorbite
  • You must respect venue rules, staff instructions, and cancellation or no-show policies published by the business
  • You are solely responsible for your own conduct while at any Merchant premises, including dining areas, rooms, lobbies, parking areas, and other facilities
  • Disputes regarding service quality, delays, refunds, hygiene, safety, pricing, or conduct should first be addressed with the business concerned

Platform Role, Premises Events, and Legal Cooperation

Dorbite does not own, operate, supervise, or control registered hospitality businesses, their premises, staff, equipment, food, beverages, rooms, or on-site activities. Dorbite is a technology intermediary only.

To the fullest extent permitted by applicable law, Dorbite is not responsible or liable for:

  • Any wrongful, unlawful, negligent, reckless, or harmful acts or omissions by Consumer Users, guests, or other visitors at any Merchant premises
  • Any accident, injury, illness, death, property damage, loss, theft, assault, disturbance, or other unfortunate incident occurring at, near, or in connection with a Merchant's premises or services
  • Consumer dissatisfaction, service failures, discrimination, pricing disputes, or business misconduct arising from interactions between consumers and businesses

Nothing in this section limits liability that cannot be excluded under mandatory law. Where legally required, Dorbite will cooperate with courts, regulators, and law enforcement by providing relevant records and support to help resolve lawful disputes, subject to proper legal process and applicable privacy law.

8. Taxes

Business Users and Consumer Users are solely responsible for identifying, reporting, collecting, remitting, and paying all applicable taxes, duties, levies, VAT, service charges, and regulatory fees arising from their own activities, sales, subscriptions, or transactions.

Dorbite does not provide tax advice and is not responsible for any tax obligations of hotels, businesses, staff, or consumers, except where expressly required by applicable law.

9. Acceptable Use

You agree not to:

  • Use the Service for unlawful, fraudulent, abusive, deceptive, defamatory, or discriminatory purposes
  • Upload malware, attempt unauthorized access, scrape data, probe vulnerabilities, or interfere with platform security
  • Misuse notifications, promotions, reviews, QR features, staff tools, or consumer communications
  • Submit false reviews, fake bookings, manipulated analytics, or misleading business information
  • Infringe intellectual property, privacy, or publicity rights of Dorbite or third parties
  • Impersonate another person or business, or resell the Service without written permission

10. Data, Privacy, Content, and Intellectual Property

Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

Dorbite Intellectual Property

The Dorbite platform, software, branding, designs, documentation, workflows, aggregated insights, and incremental product developments are owned by or licensed to Dorbite. You may not copy, reverse engineer, resell, sublicense, or create derivative works from the Service except as permitted by law or written agreement.

User and Business Content

Business Users and Consumer Users retain responsibility for content they submit, including logos, menus, prices, room details, reviews, documents, and promotional materials. You represent that you have all rights necessary to submit such content. You grant Dorbite a non-exclusive, worldwide, royalty-free license to host, display, process, back up, transmit, and use such content solely to operate, improve, secure, support, and promote the Service.

Platform Data and Development Rights

  • Platform Data may be used by Dorbite to provide the Service, generate analytics, improve features, maintain security, and support lawful compliance
  • We do not sell personal or business data to third parties
  • We may use aggregated, anonymized, or de-identified data and operational insights derived from Platform Data for product development and business intelligence, provided this does not unlawfully infringe individual rights
  • Business Users and Consumer Users may request account closure or data removal in accordance with our Privacy Policy and applicable law

Data Controller and Processor Roles

For account, platform, security, billing, and Service-operation data, Dorbite generally acts as a data controller. For guest, reservation, order, and staff operational data submitted by Business Users, the Business User is generally responsible as an independent controller of that business data, and Dorbite processes such data on the Business User's instructions to provide the Service.

11. Advertising and Third-Party Services

Dorbite may display third-party advertisements, including Google AdSense ads, on certain consumer-facing areas of the Service. AdSense is loaded only after you grant advertising consent through our cookie banner. We may use Google Search Console to measure indexing and discoverability. Google Analytics is not currently active and may be introduced in a future release subject to our Privacy Policy and cookie consent controls.

Third-party services are governed by their own terms and privacy policies. Dorbite is not responsible for the content, availability, security, or practices of third-party advertisers, payment gateways, hosting providers, or external websites linked from the Service.

12. Electronic Communications and Records

You consent to receive communications electronically, including account notices, verification messages, billing notices, policy updates, and service announcements by email, in-app notification, SMS where enabled, or through the Service. You agree that electronic records and signatures may have the same legal effect as paper records where permitted under applicable law, including Nepal's electronic transaction framework.

13. Service Availability, Feedback, Beta Features, and Changes

  • The Service is provided on an "as available" basis; uninterrupted or error-free operation is not guaranteed
  • Maintenance, upgrades, outages, internet failures, device issues, and third-party interruptions may occur
  • Some features may be labeled beta, preview, or trial and may change or be withdrawn without notice
  • We may update features, plan limits, pricing, commission rates, referral policies, and other platform policies with notice where required by law

Feedback, Reports, and Product Prioritization

We value feedback, issue reports, and suggestions submitted through the Service or our support channels. As part of improving user experience, our first priority is to address known issues affecting the reliability and usability of the Service. Delivery of new features, enhancements, and non-critical bug fixes may be delayed or rescheduled based on Dorbite's available resources, capacity, and operational priorities at the relevant time. Submission of feedback does not create any obligation to implement a particular request within a specific timeframe.

14. Suspension and Termination

We may suspend, restrict, or terminate access immediately if you:

  • Breach these Terms or our Privacy Policy
  • Submit false, harmful, or unlawful information
  • Fail to pay applicable subscription fees or platform amounts due
  • Create fraud, security, reputational, or legal risk for Dorbite or other users

Business Regulatory and Consumer Health Compliance

Dorbite reserves the right to suspend, cancel, or refuse renewal of any hotel or business subscription, and to restrict related platform access, where a Business User is found, reasonably believed, or formally alleged to have failed to uphold applicable laws, rules, and regulations relating to consumer health, food safety, hygiene, tourism licensing, public safety, or other regulatory practices required by law. Such action may be taken with or without prior notice where necessary to protect users, comply with legal obligations, or preserve platform integrity. Dorbite may also require remedial information or cooperation before restoring access.

You may stop using the Service and request account closure at any time. Termination does not eliminate obligations that accrued before termination, including payment, tax, confidentiality, indemnity, intellectual property, and liability provisions that by their nature should survive.

15. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, be secure, timely, uninterrupted, or free from errors, or that results obtained from the Service will be accurate or reliable.

Nothing in this section excludes warranties that cannot be excluded under mandatory consumer protection law.

16. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Dorbite is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages
  • We are not liable for business losses, lost profits, lost bookings, inventory errors, staff mistakes, consumer complaints, reputational harm, or operational disruption caused by user-entered data, Merchant conduct, or third-party services
  • We are not liable for accidents, injuries, illnesses, property damage, or other incidents occurring at Merchant premises, or for any wrongdoing by Consumer Users, guests, staff, or third parties at such premises, except where liability cannot lawfully be excluded
  • We are not liable for delayed feature delivery, delayed non-critical bug fixes, or product roadmap changes arising from resource or prioritization decisions described in these Terms
  • Our total aggregate liability arising out of or relating to the Service shall not exceed the greater of: (a) fees paid by you to Dorbite in the six (6) months before the event giving rise to the claim, or (b) NPR 10,000 for users without paid fees, except where a higher minimum is required by law

Nothing in these Terms limits liability that cannot be excluded under Nepalese law or other mandatory consumer protection rules applicable to you.

17. Indemnification

Business Users agree to defend, indemnify, and hold harmless Dorbite, its affiliates, officers, directors, employees, and contractors from claims, losses, damages, liabilities, penalties, and expenses (including reasonable legal fees) arising out of or related to:

  • Your business operations, goods, services, staff conduct, or consumer interactions
  • Your content, listings, pricing, promotions, or compliance failures
  • Your breach of these Terms, applicable law, or third-party rights
  • Tax, licensing, food safety, tourism, labor, or consumer-protection violations attributable to you

Consumer Users may be responsible for indemnification to the extent permitted by law for misuse of the Service, fraudulent activity, or unlawful content they submit.

18. Dispute Resolution and Governing Law

These Terms are governed by the laws of Nepal, without regard to conflict-of-law principles, except where mandatory local consumer protection laws apply.

  • Parties should first attempt to resolve disputes through good-faith negotiation
  • If unresolved, disputes may be referred to mediation in Kathmandu, Nepal
  • Subject to mandatory law, courts in Kathmandu, Nepal shall have jurisdiction

Users in the EU, UK, Australia, or United States retain any non-waivable rights available under their local laws, including privacy, consumer protection, and access-to-justice rights.

19. Force Majeure

Dorbite is not liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, government actions, labor disputes, internet or utility failures, cyber incidents, payment network outages, war, civil unrest, or failures of third-party providers.

20. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any plan-specific terms presented at purchase, constitute the entire agreement regarding the Service
  • Severability: If any provision is held invalid, the remaining provisions remain in effect
  • No Waiver: Failure to enforce a provision is not a waiver of future enforcement
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or asset sale
  • Notices: We may provide notices through the Service, email, or other contact details associated with your account
  • Language: These Terms are written in English. If translated, the English version controls to the extent permitted by law

21. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service, email, or other reasonable notice where required. Continued use after the effective date of updated Terms constitutes acceptance, unless applicable law requires a different consent process. If you do not agree to updated Terms, you must stop using the Service and may request account closure.
